YourLegalAid, we, us, and our mean the operator of YourLegalAid.ca. The operator's legally required supplier information will be presented in the applicable purchase flow and retainable agreement where required by law.
Important notice
YourLegalAid is a technology platform. Unless a specific service expressly states otherwise, the Services do not create a lawyer-client, paralegal-client, fiduciary, or other professional relationship. Outputs are not legal advice or a substitute for advice from a qualified professional.
Some Services may help identify forms, organize information, generate drafts, search legal materials, or explain legal processes. You remain responsible for deciding whether an output is appropriate, checking authoritative sources, and meeting filing, limitation, service, and procedural deadlines.
1. Eligibility and accounts
You must have reached the age of majority where you reside to independently enter into these Terms. A person below the age of majority may use the Services only where expressly permitted by us and with any consent required by law.
You must provide accurate account information, safeguard your credentials, and promptly report suspected unauthorized access through the Contact page. If you use the Services through an organization, that organization may control its workspace and Subscriber Data under a separate agreement.
2. Other policies
Your use of the Services is also governed, where applicable, by our Privacy Policy, Cookie Policy, AI Terms, Copyright Policy, and Payment and Subscription Terms.
3. Licence and acceptable use
Subject to these Terms, we grant you a limited, revocable, non-exclusive, and non-transferable right to use the Services for your personal purposes or your organization's authorized purposes.
- Do not violate applicable law or another person's rights.
- Do not gain or attempt unauthorized access to systems, accounts, or data.
- Do not interfere with, disable, or materially degrade the Services or introduce harmful code.
- Do not systematically extract protected content except where permitted by law or written authorization.
- Do not impersonate a lawyer, paralegal, or other regulated professional.
- Do not provide legal services to another person where doing so requires a licence or authorization you do not hold.
- Do not upload information you are not authorized to provide, including confidential or privileged information belonging to another person.
- Do not create, submit, or facilitate fraudulent, deceptive, defamatory, unlawful, or abusive content.
- Do not circumvent usage, security, payment, or access controls.
We may restrict or suspend access where reasonably necessary to protect users, the Services, third parties, or legal compliance.
4. Free, paid, and subscription services
Some Services are free and others require payment. Before an applicable online purchase, we will present the material price, billing, renewal, cancellation, and other information required by law, together with an opportunity to accept or decline the agreement and correct errors where required.
Where required by law, we will provide a retainable copy or record of the applicable agreement. Statutory cancellation, refund, and other non-waivable consumer rights apply despite anything in these Terms to the contrary. The Payment and Subscription Terms form part of these Terms for paid Services.
5. Digital products
Forms, publications, reports, software outputs, and similar electronically delivered materials are digital products or licensed content. Except for your own content and information, purchasing access does not transfer ownership of our software, templates, underlying intellectual property, or proprietary methods.
6. Private user content
Private User Content includes private workspace information, form answers, uploaded documents, legal-matter information, immigration information, drafts, saved research, AI conversations, witness-preparation sessions, and similar non-public material.
Private User Content is private by default. You grant us only the limited rights reasonably necessary to host, process, transmit, secure, maintain, and provide the Services and to comply with law, as described in the Privacy Policy. We will not make Private User Content public merely because you submitted it to the Services.
7. Public content
Public Content means content you intentionally submit to a feature clearly identified as public, such as a review, rating, public comment, or community contribution. For Public Content, you grant us a non-exclusive, worldwide, royalty-free licence to host, reproduce, format, moderate, display, and distribute that content to operate and promote the relevant public feature. You retain ownership of your content.
You must have a lawful basis to publish Public Content. Do not publish confidential information, sensitive personal information about another person without authority, defamatory material, threats, harassment, or fabricated allegations. We may moderate, refuse, remove, de-index, or restrict Public Content where reasonably necessary to enforce these Terms, comply with law, protect privacy, or reduce abuse. Moderation does not mean we verify every factual statement submitted by users.
8. AI-enabled features
AI-enabled Services may produce inaccurate, incomplete, outdated, or fabricated content. AI output must be independently reviewed before it is relied on for legal, financial, immigration, safety, or other consequential decisions. Additional requirements appear in the AI Terms.
9. Intellectual property
The Services and their software, design, branding, proprietary content, and underlying materials are owned by YourLegalAid or its licensors and protected by applicable intellectual-property laws. Copyright concerns are handled under the Copyright Policy.
10. Third-party services and links
The Services may interoperate with third-party services. Their terms and privacy practices may apply independently. We are not responsible for third-party services outside our control.
11. No professional relationship
Unless a specific Service expressly states otherwise and identifies the regulated professional or entity providing that service, use of YourLegalAid does not create a lawyer-client or paralegal-client relationship. No agency, partnership, joint venture, fiduciary, or employment relationship is created merely by use of the Services.
12. Disclaimers
To the maximum extent permitted by law, the Services are provided on an “as is” and “as available” basis. We do not warrant that every output is complete, current, error-free, or suitable for a particular legal matter. Nothing in these Terms excludes a warranty, condition, representation, remedy, or other right that cannot lawfully be excluded or limited.
13. Limitation of liability
To the maximum extent permitted by law, YourLegalAid will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, opportunities, or data, arising from use of the Services.
For claims that may lawfully be limited, aggregate liability arising from the Services will not exceed the greater of the amount you paid to YourLegalAid for the affected Service during the six months before the event giving rise to the claim and CA$100. These limitations do not apply to liability that cannot lawfully be limited or to obligations expressly assumed in a separate written agreement.
14. Consumer rights
Nothing in these Terms waives substantive or procedural rights that applicable consumer-protection legislation makes non-waivable. For Ontario consumers, no provision requiring arbitration prevents a consumer from exercising a statutory right to commence an action in the Superior Court of Justice. After a dispute arises, the parties may mutually agree to arbitration or another lawful dispute-resolution process.
15. Disputes and governing law
Subject to mandatory consumer-protection and other applicable laws, these Terms are governed by the laws of Ontario and the federal laws of Canada applicable there. Courts located in Ontario have jurisdiction over disputes except where applicable law gives you a right to proceed elsewhere. Business users not protected as consumers may agree with us in writing to arbitrate a dispute in Ontario.
16. Quebec language rights
Where Quebec law requires a French version of these Terms or related contractual documents to be provided before a user can choose another language, we will provide the French version first. A user will be bound by an English version only where the legally required French version has been provided and the user thereafter expressly chooses English. A language-selection statement alone does not waive rights granted by the Charter of the French Language.
17. Changes, suspension, and termination
We may update the Services and these Terms. Material changes will be communicated in a manner appropriate to their significance and as required by law. Changes will not retroactively remove accrued statutory rights. You may stop using the Services at any time. We may suspend or terminate access for material breach, fraud, abuse, security risk, non-payment, or legal requirements, subject to applicable contractual and consumer rights.
18. Force majeure
Neither party is liable for a delay or failure caused by circumstances beyond its reasonable control, except for payment obligations already due and obligations that applicable law does not permit to be excused.
19. Entire agreement and severability
These Terms, incorporated policies, and any applicable order form, Payment Terms, or Subscription Agreement constitute the entire agreement governing the relevant Service. If a separately signed agreement conflicts with these Terms, the separately signed agreement controls to the extent of the conflict. If a provision is unenforceable, it will be enforced to the maximum extent permitted and the remaining provisions will continue in effect. Failure to enforce a provision is not a waiver.
